Item 8.01. Other Events.

 

On December 12, 2012, American Realty Capital Trust, Inc. (the “Company”) released an investor presentation and issued a press release in connection with the Company’s Special Meeting of Stockholders scheduled for January 16, 2013, to consider and vote on, among other things, a proposal to approve the merger of the Company with and into Tau Acquisition LLC, a Delaware limited liability company and a direct wholly owned subsidiary of Realty Income Corporation, a Maryland corporation (“Realty”).

 

Copies of the press release and investor presentation are attached as Exhibits 99.1 and 99.2, respectively, to this Current Report on Form 8-K.
