AMENDMENTS TO CHARTER AND BYLAWS; CHANGE IN FISCAL YEAR. On November 2, 2006, Concord Camera Corp. (the "Company") filed with the State of New Jersey a Certificate of Amendment to the Company's Certificate of Incorporation (the "Certificate of Amendment") to effect a one-for-five reverse split (the "Reverse Stock Split") of the Company's common stock, no par value (the "Common Stock"). The Certificate of Amendment was approved by the Company's Board of Directors without action by the shareholders of the Company and will become effective at 12:01 a.m., New York time, on November 21, 2006. In the Reverse Stock Split, (i) each issued five (5) shares (including treasury shares and shares held in trust) will be combined into and become one (1) share of Common Stock; (ii) fractional shares will be issued to reflect fractional interests that may result from the Reverse Stock Split; and (iii) the number of authorized shares of Common Stock will be reduced from one hundred million (100,000,000) shares to twenty million (20,000,000) shares. The Company's one million (1,000,000) shares of preferred stock, no par value, will not be affected by the Reverse Stock Split.
