Emerson Radio Corp. (the "Company") is unable to file its quarterly
report on Form 10-Q for the three month period ended June 30, 2006, within the
time period prescribed for such report without unreasonable effort or expense.
The delay in filing is principally attributable to the Company's need to analyze
additional information in order to complete the financial statements.
