Item 2.02 Results of Operations and Financial Condition

 

On October 31, 2018, The Estée Lauder Companies Inc. (the “Company”) issued a press release announcing its financial results for the fiscal quarter ended September 30, 2018.  The release includes the Company’s estimates related to its fiscal 2019 second quarter and full year net sales and diluted net earnings per common share.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

 

Item 8.01 Other Events

 

On October 30, 2018, the Company declared a quarterly dividend in the amount of $.43 per share on the Company’s Class A and Class B Common Stock.  The dividend is payable in cash on December 17, 2018 to stockholders of record at the close of business on November 30, 2018.  On October 31, 2018, the Company’s Board of Directors authorized the repurchase of up to another 40.0 million shares of the Company’s Class A Common Stock, in addition to approximately 3.7 million shares of Class A Common Stock remaining, as of October 24, 2018, from a prior repurchase authorization.
