On April 17, 2006, Vital Images, Inc. (the “Company”) entered into Amendment No. 1 (the “Amendment”) to the Retirement Agreement dated February 16, 2006 with Vincent Argiro, its founder, Chief Technology Officer and director. A copy of the Amendment is attached hereto as Exhibit 99.1.
