Reference is made to Item 1.01 of the Company’s Current Report on Form 8-K dated July 27, 2006 (the “July 2006 8-K”) and filed with the Commission on August 1, 2006, which is incorporated herein by this reference.  In the July 2006 8-K, the Company reported, among other matters, the adoption of the Company’s Severance Benefits Policy (the “Severance Plan”).  The Severance Plan was filed as Exhibit 10.3 to the July 2006 8-K and is incorporated herein by this reference.
 
On February 19, 2009, the Company’s Board of Directors amended the Severance Plan to provide for benefits of 18 months rather than 12 months for Executive Vice Presidents and above.
